Terms & Conditions

1. General

These Terms & Conditions govern the use of services provided by Pumpkin Media LLC ("we", "us", "our"), including but not limited to website design and development, web hosting, domain registration, software, web applications, mobile applications and related digital services (collectively, the "Services"). By engaging us for any Service, you ("Client") agree to be bound by these Terms.

2. Domain & Server / Hosting Renewals

Domain names and server/hosting plans are provided on a subscription basis and must be renewed by the Client on or before their respective expiry dates. We may send renewal reminders as a courtesy, but the Client remains solely responsible for tracking and completing renewals on time.

If a domain and/or server/hosting plan is not renewed before its expiry date, it may be suspended or terminated by the registrar or hosting provider. This can result in permanent loss of the website, web application, software, emails, files, databases and any other data stored on the server. We are not responsible for any data loss, downtime, business loss or damages arising from a domain or server/hosting plan that was not renewed on time, and any recovery of lost data or services, where possible at all, will be undertaken at the Client's own cost.

3. Backups & Data Loss

Clients are strongly advised to maintain their own independent backups of all website content, application data, files and emails. While we may take periodic backups as part of certain hosting packages, we do not guarantee the availability, completeness or recoverability of any backup, and we are not liable for any loss of data, content, emails or files, whether caused by non-renewal of domain/server, server failure, third-party actions, cyberattacks or any other cause beyond our reasonable control.

4. Software, Websites, Web Apps & Applications

All software, websites, webapps, mobile applications and other deliverables are provided on an "as is" basis at the time of handover/delivery. We do not warrant that the Services will be uninterrupted, error-free or compatible with all future third-party platform, browser or operating system updates. Ongoing maintenance, updates and support are only provided where separately agreed to and paid for by the Client.

5. Payments & Advance Payments

Projects are undertaken on the basis of an advance/upfront payment followed by milestone or final payments as agreed in the project quotation or invoice. All advance payments made to us are strictly non-refundable, regardless of whether the project is subsequently cancelled, delayed, paused or discontinued by the Client, except where required otherwise by law. Refunds, where applicable at our sole discretion, will only be considered for amounts paid beyond work already commenced or completed.

6. Limitation of Liability

To the maximum extent permitted by law, Pumpkin Media LLC shall not be liable for any indirect, incidental, special or consequential damages, including but not limited to loss of data, loss of revenue, loss of business or reputational damage, arising out of or in connection with the Services provided, including domain/server expiry, hosting downtime or third-party service failures.

7. Domain Expiry Grace Period & Renewal Penalty

Once a domain reaches its expiry date, it typically enters a grace period of up to 18 days (which may vary by domain registrar and extension) during which it can still be renewed. If the domain is not renewed within the first 14 days of expiry, a late renewal penalty of USD 80 will apply in addition to the standard renewal/registration fee, to cover the additional charges levied by the registrar for late renewal. Domains not renewed within the applicable grace period may enter a redemption period with substantially higher restoration costs, or may be released for public registration and lost permanently, resulting in loss of the website, associated emails and all related data. We strongly recommend renewing domains well in advance of the expiry date to avoid these charges and risks.

8. G Suite / Google Workspace Email Services

Where we set up, manage or renew G Suite / Google Workspace email hosting on the Client's behalf, the following additional terms apply:

• Google Workspace subscriptions are billed on a recurring (monthly or annual) basis by Google and must be renewed/paid on time. Non-payment or non-renewal may result in suspension or permanent deletion of the Client's mailboxes, emails, contacts, files and any other data stored within Google Workspace by Google, in accordance with Google's own policies, over which we have no control.
• We are not responsible for any loss of emails, attachments, contacts, calendar entries or other data resulting from suspension, downtime, policy changes, price changes or discontinuation of service by Google, or from delayed/non-renewal of the subscription by the Client.
• Any charges, price increases or changes to features imposed by Google on Workspace plans are outside our control and will be passed on to the Client as applicable.
• Clients are responsible for maintaining their own backups of important emails and files stored on Google Workspace. We recommend enabling Google's built-in export/backup tools (e.g. Google Takeout) periodically.
• Migration, setup, or troubleshooting of G Suite / Google Workspace beyond the initially agreed scope may be chargeable separately.

9. Changes to These Terms

We may update these Terms & Conditions from time to time. Continued use of our Services after any changes constitutes acceptance of the revised Terms.
